These Terms of Service (“Terms”) govern access to and use of the Ansoar website and service (the “Service”) provided by Ansoar (ABN 44 509 156 060), based in New South Wales, Australia (“Ansoar”, “we”, “us”). By creating an account, starting a trial or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Agreement and eligibility
The Service is a business-to-business software service. To use it you must be at least 18 years old and have the authority to enter into these Terms, either personally or on behalf of the business or other entity you represent. If you use the Service on behalf of an entity, “you” and “Customer” refer to that entity, and you confirm that you are authorised to bind it to these Terms.
Our Privacy Policy explains how we handle information and forms part of these Terms.
2. Accounts and security
You must provide accurate and current information when creating and maintaining an account. You may sign in using an email link or through supported identity providers such as Google or Microsoft. Ansoar does not control those providers and is not responsible for their availability or security.
You are responsible for maintaining the security of your credentials and devices, for all activity that occurs under your account, and for the actions of any users you invite to your workspaces. You must notify us promptly at support@ansoar.io if you become aware of any unauthorised access to or use of your account.
3. Workspaces and client data
The Service allows you to create workspaces for your own business and, where your plan permits, for clients or other organisations, and to invite team members. You are responsible for deciding who has access to your workspaces and what permissions they hold.
Where you place information about a client, a client’s business, or any other person into the Service, you confirm that you have the authority and any consents or lawful grounds needed to do so, and that your use of that information through the Service complies with applicable law and your obligations to that client or person.
4. Free trial
Ansoar offers a 7-day free trial with no credit card required. The features, usage limits and duration available during a trial may differ from paid plans and may vary between plans. We may limit trial eligibility, including to one trial per business, to prevent abuse. We may modify or discontinue trial offers at any time, but any change will not affect a trial already in progress. Unless you purchase a subscription, access to the Service may end when the trial expires.
5. Paid subscriptions
If you purchase a paid subscription, the applicable price, billing period, included usage and any usage-based charges will be shown at checkout or on the relevant order page at the time of purchase. Subscriptions renew automatically at the end of each billing period unless cancelled before renewal. Payments are processed by our payment provider, currently Stripe, and you authorise us and our payment provider to charge your nominated payment method for all applicable fees. Prices may change from time to time; we will give you reasonable notice before a price change affects your subscription.
Fees are stated exclusive of taxes unless otherwise indicated. You are responsible for any applicable taxes, other than taxes on Ansoar’s income.
6. Cancellation and refunds
You may cancel a paid subscription at any time through the Service or by contacting us. Cancellation stops future renewals. Unless otherwise stated, the Service remains available until the end of the billing period you have already paid for, and fees already charged are non-refundable except where required by law or where we expressly agree otherwise. Nothing in this section limits your rights under the Australian Consumer Law or other laws that cannot be excluded.
7. Acceptable use
You must not, and must not allow others to:
- use the Service for any unlawful purpose or in breach of any applicable law or regulation;
- infringe the intellectual property, privacy or other rights of any person;
- attempt to gain unauthorised access to the Service, other accounts, or connected systems;
- introduce malware or other harmful code, or interfere with the integrity or performance of the Service;
- place abusive or automated load on the Service, or circumvent security, rate or usage controls;
- misrepresent your authority to use client, customer or other third-party information;
- resell, sublicense or share access to the Service outside the terms of your subscription;
- copy, modify, reverse engineer or create derivative works of the Service except as permitted by law.
8. Customer content
You retain ownership of the information and content you and your users provide to the Service (“Customer Content”). You grant Ansoar a non-exclusive, worldwide licence to host, store, process, analyse, transmit, display and reproduce Customer Content solely to the extent necessary to provide, secure and support the Service and as otherwise permitted by these Terms and our Privacy Policy. This licence ends when Customer Content is deleted from the Service, subject to retention in backups for a limited period.
You are responsible for Customer Content, including its accuracy and legality. Measurement records, analysis and recommendations generated by the Service for your workspace are available for your use as part of the Service.
9. AI measurements and recommendations
The Service measures how third-party AI systems respond to searches at particular points in time. You acknowledge that:
- AI-generated results change frequently and may differ between users, locations, sessions and platform versions;
- third-party AI systems are outside Ansoar’s control, and their behaviour, availability and policies may change without notice;
- measured answers are observations at specific times and are not a complete or continuous record of what any AI system says;
- recommendations, readiness findings and other analysis are analytical guidance based on observed evidence and are not guarantees of any outcome;
- Ansoar does not guarantee any future ranking, citation, mention, recommendation or business result;
- a change observed after you take an action is not necessarily caused by that action, and the Service presents such movement as observed rather than causal;
- you remain responsible for your own business, marketing and publishing decisions, including how you use any recommendation or draft produced by the Service.
10. Third-party services
The Service depends on third-party services, including AI platforms, cloud infrastructure, authentication providers, error monitoring, payment processing and email delivery. Those services may change, be interrupted or become unavailable. Ansoar is not responsible for third-party products or services that are outside its reasonable control, and your use of third-party services is subject to their own terms.
11. Intellectual property
Ansoar and its licensors own all rights in the Service, including the software, website, product design, brand, documentation, underlying systems and any technology, methodology or content that is not Customer Content. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes during your trial or subscription. No other rights are granted. If you provide feedback about the Service, we may use it without obligation to you.
12. Confidentiality
Each party may receive non-public information from the other in connection with the Service. Each party will use reasonable care to protect the other’s confidential information, use it only for purposes connected with these Terms, and not disclose it except to people who need to know it and are bound by comparable obligations, or where disclosure is required by law. Confidential information does not include information that is public, already known to the receiving party, independently developed, or received from a third party without restriction.
13. Availability and changes to the Service
We may update, improve, change or discontinue features of the Service from time to time. We aim to keep the Service available but do not guarantee uninterrupted or error-free operation; maintenance, third-party outages and factors outside our control may affect availability. Where a change materially reduces the core functionality of a paid plan, we will use reasonable efforts to notify affected customers in advance.
14. Suspension and termination
We may suspend or terminate your access to the Service, in whole or in part, if you materially breach these Terms, if your use creates a security risk or is unlawful, if fees are overdue where applicable, or if your use abuses the Service. Where practicable, we will give notice and an opportunity to remedy the issue first. You may stop using the Service at any time and may cancel your subscription in accordance with section 6.
On termination, your right to use the Service ends. Sections that by their nature should survive, including those relating to customer content, intellectual property, confidentiality, warranties, liability and governing law, continue to apply.
15. Warranties
We will provide the Service with reasonable care and skill. Otherwise, to the extent permitted by law, the Service is provided “as available” and we exclude all other warranties, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose or non-infringement.
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law or any other law that cannot lawfully be excluded. Where such a law applies and we are permitted to limit our liability, our liability is limited, at our option, to re-supplying the relevant services or paying the cost of having them re-supplied.
16. Liability
To the maximum extent permitted by law: (a) neither party is liable to the other for any indirect, incidental, special or consequential loss, or for loss of profit, revenue, goodwill or data, however arising; and (b) Ansoar’s total aggregate liability arising out of or in connection with these Terms or the Service in any 12-month period is limited to the total fees paid by you to Ansoar for the Service in the 12 months immediately preceding the event giving rise to the claim.
These limits do not apply to liability that cannot be limited by law, or to a party’s liability for fraud or wilful misconduct.
17. Governing law
These Terms are governed by the laws of New South Wales, Australia. Each party submits to the non-exclusive jurisdiction of the courts of New South Wales and the courts entitled to hear appeals from them. Before starting proceedings, the parties will attempt in good faith to resolve any dispute by discussion.
18. Changes to these terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date at the top of this page and, where required or appropriate, notify account holders through the Service or by email before the changes take effect. Your continued use of the Service after the changes take effect indicates that you accept the updated Terms.
